NIVYASA TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of Nivyasa, including its website, applications, software, AI-powered features, LinkedIn-related features, content creation tools, professional profile analysis tools, scheduling tools, integrations and related services (collectively, the "Service").

Nivyasa is operated by STAFFONAIR TECHNOLOGIES PRIVATE LIMITED, having its registered office at Principal Place of Business C-36, Kusum Vihar, SKIT Road, Jagatpura, Jaipur, Jaipur, Rajasthan, 302017 -GSTIN- 08ABPCS6989M1Z0 ("Nivyasa", "Company", "we", "us" or "our").

By creating an account, clicking "I Agree", connecting a third-party account, purchasing a paid plan, or otherwise using Nivyasa, you acknowledge that you have read, understood and agreed to these Terms, our Privacy Policy, and any additional terms applicable to specific features.

If you do not agree to these Terms, you must not use Nivyasa.

1. Eligibility

You must be legally capable of entering into a binding agreement under applicable law to use Nivyasa.

If you use Nivyasa on behalf of a company, organization or other entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Nivyasa

Nivyasa is an AI-powered professional growth and LinkedIn productivity platform. Depending on the plan and features available, Nivyasa may provide:

• professional profile analysis;
• professional growth assessments;
• profile improvement recommendations;
• "How Would a Recruiter See Me?" analysis;
• content and topic recommendations;
• AI-assisted content generation;
• AI-generated images or other creative assets;
• LinkedIn content scheduling and publishing through permitted integrations;
• engagement and comment recommendations;
• professional visibility recommendations;
• notifications and reminders;
• analytics and performance insights;
• third-party integrations, including LinkedIn and other supported services;
• communication through supported channels such as email or WhatsApp, where separately enabled by you.

Features may change, be added, suspended or discontinued from time to time.

3. Account Registration

You are responsible for providing accurate information when creating your Nivyasa account.

You are responsible for maintaining the confidentiality of your account credentials and for activities performed through your account.

You must notify us promptly if you believe your account has been accessed without authorization.

You must not:

• create an account using false information;
• impersonate another person;
• use another person's Nivyasa account without authorization;
• share your account where prohibited by the applicable plan;
• use Nivyasa for unlawful, fraudulent, deceptive or abusive purposes.

4. LinkedIn and Third-Party Account Connections

Certain Nivyasa features may require you to connect a LinkedIn account or another supported third-party service.

Where an official authorization, OAuth, API or other approved connection mechanism is available, you authorize Nivyasa to access only the information and permissions that you expressly authorize through that mechanism.

Nivyasa does not require you to provide your LinkedIn password directly to Nivyasa.

You acknowledge that LinkedIn is an independent third-party service and that your use of LinkedIn remains subject to LinkedIn's own terms, policies and restrictions.

Nivyasa does not represent that it is affiliated with, endorsed by or officially sponsored by LinkedIn unless expressly stated.

Your use of LinkedIn through Nivyasa must comply with applicable LinkedIn terms and policies.

If LinkedIn changes, restricts, suspends or removes access to an API, integration or functionality, corresponding Nivyasa functionality may become unavailable.

Nivyasa is not responsible for changes, restrictions, suspension or termination imposed by LinkedIn or another third-party service.

5. LinkedIn Automation and User Authorization

Where Nivyasa provides scheduling, publishing, engagement or other LinkedIn-related functionality, such functionality will operate only through methods and integrations that Nivyasa reasonably determines are permitted and technically supported.

You remain responsible for reviewing and approving content where the applicable feature requires user approval.

You must not use Nivyasa to:

• circumvent LinkedIn security or access controls;
• scrape LinkedIn data through unauthorized methods;
• use another person's LinkedIn account;
• automate activity in a manner prohibited by LinkedIn;
• create fake engagement;
• send unsolicited or unlawful communications;
• violate LinkedIn's User Agreement or Professional Community Policies;
• use Nivyasa to misrepresent your identity or professional affiliation.

You acknowledge that Nivyasa cannot guarantee that LinkedIn will permit any particular integration, automation or activity indefinitely.

6. Professional Profile Analysis

Nivyasa may analyze information supplied by you, including information from your professional profile, resume, documents, content, professional history and other information you choose to provide.

Nivyasa may generate assessments regarding:

• profile completeness;
• professional positioning;
• areas of expertise;
• content themes;
• professional visibility;
• potential content opportunities;
• profile improvement opportunities;
• recruiter-facing presentation;
• job/profile alignment.

These assessments are AI-generated recommendations and are not guarantees of employment, recruitment outcomes, business opportunities, professional success, profile growth, engagement or income.

7. AI-Generated Content

Nivyasa may generate text, images, suggestions, headlines, comments, responses, content plans and other material using artificial intelligence.

AI-generated content may contain errors, omissions, inaccurate statements, inappropriate suggestions or outdated information.

You are responsible for reviewing content before publishing or relying upon it unless you have expressly enabled an automated feature that permits publication without individual review.

You remain responsible for ensuring that content published through your account is accurate, lawful, non-defamatory, non-infringing and appropriate for the platform on which it is published.

8. Automated Recommendations

Nivyasa may provide recommendations based on information available to it, including your profile, content history, preferences, scheduled content, engagement information and other information you have authorized Nivyasa to process.

Examples may include:

• recommended topics;
• content suggestions;
• profile improvement suggestions;
• suggested comments or responses;
• reminders;
• engagement opportunities;
• recommendations regarding professional positioning.

These are recommendations only. Nivyasa does not guarantee that following any recommendation will produce a particular professional, employment, commercial or social-media outcome.

9. Notifications and Communications

If you enable notifications, Nivyasa may communicate with you through supported channels, which may include:

• in-app notifications;
• email;
• WhatsApp;
• SMS, where supported and separately authorized;
• other communication channels you activate.

Such communications may include:

• scheduled-content reminders;
• content approval requests;
• profile recommendations;
• engagement notifications;
• account notifications;
• service updates;
• security alerts;
• payment-related communications.

You may disable optional notifications through available account settings. Certain transactional, security or legally required communications may continue even if optional notifications are disabled.

10. WhatsApp or Other Messaging Integrations

If you choose to connect Nivyasa with WhatsApp or another supported communication service, you authorize Nivyasa to send messages, notifications or interactive requests through that service as permitted by the integration and applicable law.

You may withdraw optional communication consent through the mechanism provided by Nivyasa.

Nivyasa is not responsible for outages, restrictions, delivery failures, account restrictions or policy changes imposed by WhatsApp or another third-party messaging provider.

11. User Content

You retain ownership of content that you submit to Nivyasa, subject to any rights you grant to us under these Terms. This may include:

• profile information;
• resumes;
• photographs;
• documents;
• posts;
• drafts;
• prompts;
• images;
• professional information;
• other materials uploaded or submitted by you.

You grant Nivyasa a limited, non-exclusive, worldwide license to host, process, reproduce, modify as technically necessary, transmit and otherwise use your content solely as necessary to provide, maintain, secure and improve the Service and perform the functionality you request, subject to our Privacy Policy and applicable law.

You represent that you have the necessary rights and permissions to submit the content to Nivyasa and authorize us to process it.

12. Personal Data and Privacy

Nivyasa's collection and processing of personal data is governed by our Privacy Policy. The Privacy Policy explains:

• what personal data we collect;
• why we collect it;
• how we use it;
• the legal basis for processing;
• how we share it;
• how long we retain it;
• how users may exercise applicable rights;
• how users may withdraw consent;
• how users may contact us regarding privacy matters.

Where consent is required, Nivyasa will obtain consent in accordance with applicable law.

You may withdraw consent where applicable through the mechanism provided by Nivyasa. Withdrawal of consent may result in the suspension or unavailability of features that require the relevant data or permission.

13. Third-Party Services

Nivyasa may integrate with third-party services including LinkedIn, WhatsApp, cloud providers, AI providers, analytics providers, payment providers and other technology services.

Your use of those services is governed by their respective terms and privacy policies.

Nivyasa does not control third-party services and does not guarantee their availability, accuracy, security or continued operation.

14. AI Service Providers

To provide certain features, Nivyasa may use third-party artificial intelligence or technology providers.

Information submitted to Nivyasa may be processed by such providers where necessary to provide the requested functionality and subject to applicable contractual, technical and legal safeguards.

Nivyasa will not knowingly permit third-party AI providers to use your personal data for unrelated purposes except where disclosed in our Privacy Policy or otherwise authorized by you or permitted by applicable law.

15. Payments and Paid Plans

Certain Nivyasa features require payment. Pricing, features, usage limits and billing periods will be displayed before purchase.

Unless otherwise stated:

• subscriptions renew automatically according to the selected billing period;
• applicable taxes may be added;
• payment is processed through the payment provider made available by Nivyasa;
• cancellation affects future billing and does not automatically create a refund for previously charged periods.

Any refund rights required by applicable law will remain unaffected.

16. Free Trials and Promotional Credits

Nivyasa may offer free trials, promotional credits or limited free access.

We may impose reasonable usage limits and may modify or discontinue promotional programs.

Unless otherwise stated, unused promotional credits do not have cash value and are not transferable.

17. Prohibited Uses

You must not use Nivyasa to:

• violate any applicable law;
• infringe intellectual property rights;
• impersonate another person;
• conduct fraud;
• distribute malware;
• harass or abuse others;
• send unlawful spam;
• generate deceptive or fraudulent content;
• manipulate social-media engagement through prohibited methods;
• bypass security controls;
• reverse engineer the Service;
• interfere with the Service;
• access another user's data without authorization;
• upload data that you do not have the right to process;
• use Nivyasa to make unlawful employment or discriminatory decisions;
• use Nivyasa in a manner prohibited by a connected third-party platform.

18. No Employment or Professional Outcome Guarantee

Nivyasa does not guarantee:

• employment;
• interviews;
• promotions;
• clients;
• leads;
• followers;
• engagement;
• profile views;
• revenue;
• business growth;
• professional visibility;
• recruitment outcomes.

Any scores, recommendations or forecasts provided by Nivyasa are informational and should not be treated as guarantees.

19. Intellectual Property

The Nivyasa software, interface, trademarks, branding, design, technology, documentation and proprietary functionality are owned by or licensed to Nivyasa and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, reproduce, distribute, sell, lease, reverse engineer or commercially exploit any portion of Nivyasa.

20. Security

Nivyasa will implement reasonable technical and organizational measures appropriate to the nature of the information processed.

However, no internet-based system can be guaranteed to be completely secure. You acknowledge that transmission and storage of information over the internet involves inherent risks.

21. Suspension and Termination

We may suspend or terminate an account where reasonably necessary to:

• protect the Service;
• prevent fraud or abuse;
• comply with law;
• respond to a security incident;
• address violation of these Terms;
• respond to restrictions imposed by a third-party platform.

You may terminate your Nivyasa account at any time through the available account controls or by contacting us.

Upon termination, data will be handled according to our Privacy Policy and applicable retention obligations.

22. Disclaimer

Nivyasa is provided on an "as available" and "as is" basis to the extent permitted by law. We do not guarantee that the Service will always be:

• uninterrupted;
• error-free;
• available;
• secure;
• accurate;
• complete;
• compatible with every third-party service.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Nivyasa and its officers, employees, affiliates and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Service.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

24. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Nivyasa and its officers, employees, affiliates and service providers from claims, losses, liabilities and expenses arising from:

• your violation of these Terms;
• your misuse of the Service;
• content you submit or publish;
• infringement of another person's rights;
• violation of third-party platform terms caused by your actions.

25. Changes to the Service

Nivyasa may modify, add or remove features. Where a material change substantially affects your rights or obligations, we will provide notice where required by applicable law.

26. Changes to These Terms

We may update these Terms from time to time. The updated version will be made available through Nivyasa. Where required by law, we will provide appropriate notice and obtain any required consent.

27. Governing Law

These Terms shall be governed by the laws of India. Subject to applicable law, disputes shall be subject to the jurisdiction of the courts of JAIPUR, RAJASTHAN.
